1. Introduction

These Terms of Service ("Terms") govern your access to and use of PowerOCR LLC.'s products and services, including but not limited to our Automatic License Plate Recognition (ALPR) software, APIs, downloads, documentation, and web properties (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Definitions

• Customer / You: Person or organization that uses the Services.
• Software: Any downloadable or hosted software provided by PowerOCR.
• API: Application programming interface endpoints and documentation provided with the Services.

3. Accounts, Access & Security

If you create an account to use the Services you must provide accurate information and keep your credentials secure. You are solely responsible for activity that occurs under your account. You must notify PowerOCR immediately of any unauthorized use.

4. License

Subject to your compliance with these Terms, PowerOCR grants you a non-exclusive, non-transferable, revocable license to use the Software and Services for your internal business purposes only, in accordance with any applicable documentation and usage limits. Unless a separate written agreement provides otherwise, all rights not expressly granted are reserved by PowerOCR.

5. Permitted and Prohibited Uses

Permitted uses: Integrating our REST API, hosting the Software on-premises, testing and evaluation, and other uses explicitly allowed by PowerOCR.

Prohibited uses: You shall not (and shall not permit others to):

• Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software (except to the extent permitted by applicable law).
• Use the Services to collect or process personal data in violation of privacy laws without proper legal basis or notice.
• Use the Services to stalk, harass, or unlawfully surveil individuals.
• Remove or alter any proprietary notices, watermarks, or labels on outputs produced by the Services.
• Host, distribute, sublicense, resell or otherwise commercialize the Services outside the terms of a separate written agreement with PowerOCR.

6. Fees, Trial & Payment

Some features or tiers of the Services may require payment. Unless otherwise specified, fees are non-refundable. Trial periods, if offered, are subject to additional restrictions and may be terminated at any time. PowerOCR may change fees with advance notice where required by law.

7. Intellectual Property

PowerOCR and its licensors retain all right, title and interest in and to the Services, Software, models, documentation, trademarks, trade secrets and other intellectual property. You retain ownership of any data you submit to the Services; however, you grant PowerOCR a limited license to use that data for the purpose of providing, improving, and monitoring the Services (see our Privacy Policy for details).

8. Privacy & Data Protection

Processing of personal data is governed by our Privacy Policy. You are responsible for complying with applicable data protection laws (for example: obtaining consents or providing notice when required). Where you process personal data using the Services, you must ensure you have a lawful basis to do so and implement appropriate safeguards.

9. Warranties & Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" except where prohibited by law. To the maximum extent permitted by law, PowerOCR disclaims all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranties arising from course of dealing or usage.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall PowerOCR be liable for:

• Any indirect, incidental, special, exemplary, or consequential damages;
• Loss of profits, revenue, data or business opportunity;
• Claims arising from your use of the Services in violation of these Terms or applicable law.

In jurisdictions where exclusion of certain liabilities is not permitted, PowerOCR's liability is limited to the maximum extent allowed by law. Where a separate written agreement applies, that agreement's limitations will govern.

11. Indemnification

You agree to defend, indemnify and hold PowerOCR harmless from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of applicable law.

12. Support & Service Levels

Support offerings, service levels, and uptime commitments vary by plan and are specified in separate agreements or documentation. PowerOCR provides reasonable commercial support for paid customers; trial accounts may receive limited or community support only.

13. Updates, Modifications & Termination

PowerOCR may update the Services or these Terms from time to time. If we make material changes to these Terms, we will provide notice as required by law. We may suspend or terminate access to the Services at any time for cause (for example, if you breach these Terms) or for convenience for hosted services with reasonable notice where applicable.

14. Third Party Software & Services

The Services may integrate or include third-party libraries, services or data. Use of third-party functionality may be subject to separate terms, and PowerOCR is not responsible for third-party content or services.

15. Export Controls

The Software and Services may be subject to export and import control laws. You agree not to export or re-export the Software to any country, person, or entity prohibited by law.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye without regard to its conflicts of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the courts located in Ankara, Türkiye, unless otherwise agreed in writing.

17. Termination Consequences

Upon termination, all licenses granted under these Terms will cease. Termination does not relieve you of obligations that accrued prior to termination, including payment obligations and indemnities.

18. Miscellaneous

• Severability: If any portion of these Terms is held invalid, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any right is not a waiver of that right.
• Entire Agreement: These Terms plus any order forms, invoices, or written agreements constitute the entire agreement between you and PowerOCR regarding the Services.
